Article 1
Name
The name of this association shall be
DUVALL HIGHLANDS HOMEOWNERS ASSOCIATION under the Corporate Laws (RCW 24.03) of
the State of
Article II
Objectives and Purpose
The Objectives of this Association shall
be to protect and promote the best interests of the Homeowners and their
respective families, to promote goodwill and a sense of community and
neighborhood between all residents, to work for, actively promoting and
encouraging a strong, mutual and respectful partnership with the park owner and
his/her representatives, to cooperate with the City of Duvall and the County of
King and other civic and public organizations for the general welfare of the
entire community of Duvall Highlands Mobile Home Park. In addition, it is the
purpose and direction of the Homeowners Association to provide support and
referral services to the homeowners and their families to the appropriate legal
and state agencies in regard to homeowners? rights as they pertain to the Landlord
Mobile Home Tenant Act, landlord-tenant disputes and general living conditions
in mobile homes and mobile home communities. When funding is available,
financial assistance may be provided to the homeowner for legal services in
relationship to park related problems/disputes after being brought to a vote
before the elected officials of this Association.
It is also a primary objective of
this Association to create a park purchase proposal to be submitted to the
owners of Duvall Highlands Mobile Home Park. If said proposal is accepted,
conditionally or in its entirety, it will then be the duty of this Association
to create a cooperative of shareholders to purchase the park as per the final
accepted proposal. It will then be the duty of the Association to govern the
cooperative and oversee the functioning of said mobile home park.
Article III
Area
The boundaries will be the boundaries
of the property currently known as ?Duvall Highlands Mobile Home Park? property
tax parcel number 192607-9005-08.
Article IV
Membership
Eligible members shall consist of any
adult person(s) currently owning a home and residing within the boundaries of
Duvall Highlands Mobile Home Park, or any adult person(s) who shall purchase
and install a new manufactured home within the boundaries of said park. Persons
excluded from membership in this organization are those acting on behalf of the
park owner/manager and their immediate families. Park employees may become
shareholders in the cooperative, should the Association be able to purchase the
park, however, they must be acting solely upon their own behalf and must meet
the requirement of current ownership and residency within said home inside the
boundaries of Duvall Highlands Mobile Home Park.
Article V
Dues
Association members are responsible
for the payment of $20.00 in annual dues to be used in furthering our
objectives as set forth in these bylaws. Dues may be paid in full at the time
of application for membership and upon renewal of said application or may be
paid as half down balance in 30 days. The Association reserves the right to
alter or eliminate said dues at a regularly scheduled or specially called full
membership meeting by bringing the issue of dues to the floor for debate or
discussion, by calling for a hand or ballot vote, by simple majority elect to
institute, eliminate, or alter membership dues, and to create a time frame
and/or method for collecting said dues.
Article VI
Fiscal Year
Except for the year of incorporation,
the Fiscal Year shall commence on the 1st day
of April and end on the 31st
day of March. The Fiscal
Year the year of incorporation shall commence upon the date of said
incorporation.
Article VII
Meetings
1. An
annual full membership meeting for the election of officers of this Association
shall occur the first week of April to coincide with the end of the Fiscal
Year.
2.
Regular meetings shall generally be held quarterly on a day set forth by a
simple majority vote of the members at the initial membership meeting.
3.
Special meetings shall be called by the President or other officers as deemed
necessary.
4.
The officers will have the authority to act on the behalf of the Association
members when it is not possible to organize a meeting in the event of an
unforeseen emergency.

All regular Association meetings will be announced in the Association
Newsletter which shall be distributed to each member once each month. Meeting
notification will also be provided in the form of a sign placed at the bulletin
boards located at the park entrance next to the mailboxes.
A quorum for all meetings shall
consist of at least 12 members. Voting will be by simple hand count majority or
by written proxy submitted to a previously selected Association officer within
a given time period.
Article VIII
Directors
The Association uses officers rather
than directors; however, the Association reserves the right to amend the bylaws
to elect directors at any unspecified time in the event such an action should
be deemed appropriate and/or necessary.
Article IX
Officers
The officers of this Association
shall consist of: President, Vice President, Secretary, and Treasurer. Optional
officers shall consist of: a MHOA Trustee and Committee Leaders. All officers
or interim officers may be appointed by the President without membership vote as
deemed necessary. As deemed necessary, the President alone, or a majority vote
of the officers, can remove an officer from office.
1. The President shall be the primary
official of this Association, charged with the duty of overseeing all of its
functions. The President may appoint additional officers, committee members, or
leaders as deemed necessary by the tasks at hand.
2. In the President?s absence, or
inability to perform, the Vice President shall perform the duties of the
President as directed by the President or by a majority vote of the officers.
3. The Secretary shall conduct the
correspondence of the Association as follows: keep minutes of the meetings, be
custodian of the minutes and membership records, and perform any other
secretarial duties as deemed necessary.
4. The Treasurer shall collect all
monies and shall have the care and custody of all funds, which shall be
disbursed by membership vote or upon authorization of the President (in matters
not requiring a membership vote i.e. bank supplies, supplies in general,
application fees, etc.). The Treasurer shall be required to submit a report for
the preceding year at the annual election meeting in April and shall render
special reports as requested by officers or membership votes. The Treasurer
shall deposit all funds in the name of this association in a designated bank
account (currently held at Sno Falls Credit Union,
5. The MHOA Trustee shall act as a
liaison between the MHOA office, the Officers, and the chapter and its members.
6. Should any vacancy of office occur
prior to the annual April meeting election, the vacancy shall be filled by
Presidential appointment temporarily, until a membership vote can be enacted.
7. Committees shall be designated and
appointed by the President as necessary.
8. The President, officers, and
appointees shall not be held liable for any errors or omissions
pertaining
to the Association or practices of the Association.
Article X
Seal
This Association does not have a
corporate seal but can, without vote of the membership and by determination of
the officers, purchase and use a corporate seal should it be deemed
appropriate.
Article XI
Newsletter
This Association shall publish a
newsletter for all homeowners in the park that wish to receive one. The
regularity of the newsletter shall be designated by the President in
conjunction with the Editor. The Editor shall be appointed by the President and
any member may contribute to this newsletter by submitting their contribution
to the Editor by the appointed deadline. Any submissions become the property of
the association and the printing of said submissions is at the sole discretion
of the Editor. The newsletter is the sole property and responsibility of the
Association.
Article XII
Amendments
The bylaws of this Association may be
amended or revised as dictated by law or by simple hand count majority vote of
the membership at (a) the annual meeting (b) at any regularly scheduled meeting
(c) or at a special meeting called to amend the bylaws with a written summary
and explanation of the modifications.
